Terms of Service for REAM

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the REAM (Resident Estate Manager) mobile application and web platform (estate admin portal, resident portal, and manager portal), collectively the "Service," operated by REAM ("we," "us," "REAM").

By creating an account, logging in, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. These Terms work together with our Privacy Policy, which governs how we collect, use, and protect data - please read both.

If you are using the Service on behalf of an estate, association, or organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

2. Description of Service

REAM provides software for residential estate management, including resident records, gate pass and visitor tracking, billing and payment tracking, and communication tools, made available to:

  • Estate Owners and Administrators
  • Estate Officials
  • Estate Support staff
  • Security staff
  • Primary and Secondary Residents
  • REAM Platform Managers and Platform Support staff (who operate and support the Service across multiple estates)

The specific data each account type can access is described in our Privacy Policy.

3. Accounts and Eligibility

Account Registration

You must provide accurate, current information when registering an account and keep it up to date. You are responsible for all activity that occurs under your account.

Account Security

You are responsible for keeping your login credentials confidential, not sharing your password with any other person, and notifying us promptly of any unauthorized use of your account. REAM is not liable for losses caused by your failure to safeguard your credentials.

Age Requirement

The Service is intended for use by adults. Secondary Resident accounts created for a minor must be set up and supervised by the household's Primary Resident, who is responsible for that account's use, consistent with our Privacy Policy's Children's Privacy section.

Estate Onboarding

An estate's Owner account (the original Administrator who registers the estate) is the primary point of contact for that estate and is responsible for managing who else within the estate is granted Administrator, Official, Support, or Security access.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to gain unauthorized access to any account, data, or system not belonging to you
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload or transmit malicious code
  • Use the Service to harass, defame, or harm another person
  • Misrepresent your identity or affiliation with an estate
  • Use automated means (scraping, bots) to access the Service without our written permission
  • Resell or sublicense access to the Service without our written permission

We may suspend or terminate accounts that violate this section, with or without notice, depending on severity.

5. Administrator and Estate Staff Responsibilities

Administrators, Officials, Estate Support, and Security staff are given elevated access to resident data because their role within the estate requires it. By using accounts with this access, you agree to:

  • Use resident, payment, and security data only for legitimate estate management purposes
  • Maintain the confidentiality of resident information
  • Not share resident data with unauthorized persons or use it for personal gain
  • Not disclose payment information or other sensitive details outside legitimate estate business
  • Remove or downgrade access for staff who leave their role promptly
  • Comply with our Privacy Policy and all applicable data protection laws
  • Report any suspected unauthorized access or data breach to us without undue delay

Failure to meet these responsibilities may result in account suspension or termination, and you (or your estate association) may be liable for resulting damages, as described in Section 8.

6. Payments

Where the Service is used to record or process resident payments, transactions are processed through third-party payment gateways (currently Paystack and Flutterwave). REAM does not store full payment card details.

Any fees for using the Service will be disclosed to the estate before they apply. Estates are responsible for any fees owed for their use of the Service.

Payment disputes between a resident and their estate association (e.g., disputed dues or charges) are between the resident and the estate; REAM facilitates record-keeping but is not a party to that financial relationship.

7. Intellectual Property

The Service, including its software, design, and content (excluding resident and estate data you provide), is owned by REAM and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose while these Terms remain in effect. You may not copy, modify, reverse-engineer, or create derivative works of the Service.

You retain ownership of the data you submit to the Service (resident records, communications, etc.), and grant REAM a license to host, process, and display that data solely to operate the Service, consistent with our Privacy Policy.

8. Limitation of Liability

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

REAM Is Not Liable For

Administrator and Staff Misuse:

  • Data mishandled, misused, or shared by Estate Owners, Administrators, Officials, or Support staff
  • Unauthorized disclosure of resident information by estate staff
  • Misuse of administrator access for personal purposes
  • Breach of confidentiality by association management

Third-Party Actions:

  • Unauthorized access to data despite reasonable security measures
  • Data interception or hacking beyond reasonable security standards
  • Actions of third parties with access to your device
  • The practices of third-party services we integrate with (payment gateways, hosting providers, etc.) beyond our reasonable control

User Responsibility:

  • Loss of passwords or unauthorized device access caused by you
  • Sharing login credentials with unauthorized persons
  • Data loss due to device damage or loss
  • Outdated or incorrect information you provided

Service Interruptions:

  • Temporary downtime or service interruptions
  • Data loss due to technical failures beyond our reasonable control
  • Network connectivity issues
  • Device or browser compatibility issues

Estate / Administrator Liability

Estate associations and their Administrators are liable for:

  • Data breaches caused by their own negligence
  • Unauthorized sharing of resident information by their staff
  • Misuse of resident data by staff under their authority
  • Failure to remove access for departed employees promptly
  • Violation of these Terms or our Privacy Policy by their staff

Maximum Liability

To the fullest extent permitted by law, REAM's total liability arising from or related to the Service - for data breaches caused by REAM (not by administrator or third-party misuse), service disruptions, data loss, or any other claim - shall not exceed the amount paid by the relevant estate for the Service in the 12 months preceding the claim, or $0 / ₦0 if the Service is provided free of charge.

Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnification

You (and, where applicable, the estate association you represent) agree to indemnify and hold REAM harmless from any claims, damages, or expenses (including reasonable legal fees) arising from:

  • Your or your estate staff's misuse of resident data
  • Your negligence in safeguarding your account or device
  • Unauthorized third-party access resulting from your failure to follow Account Security obligations above
  • Your or your estate's non-compliance with these Terms or applicable law

9. Suspension and Termination

We may suspend or terminate your access to the Service, with or without notice, if: you violate these Terms or our Privacy Policy; we reasonably suspect fraudulent, abusive, or unlawful activity on your account; or we are required to do so by law or a competent authority.

You may stop using the Service at any time. An estate Owner may request closure of the estate's account by contacting us; this is subject to the data retention terms in our Privacy Policy.

10. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last Updated" date, and for significant changes, we will provide notice via in-app notification, email, or published notice, similar to how we communicate changes to our Privacy Policy. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, except where applicable local law (e.g., for residents in the EU or other jurisdictions with mandatory consumer protections) requires otherwise.

Before initiating formal legal proceedings, you agree to first contact us at [email protected] to attempt to resolve any dispute informally.

12. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and REAM regarding the Service, superseding any prior agreements on this subject.
